1. Acceptance of Terms
These Terms of Service (the "Terms") form a binding agreement between you (the "User", "Subscriber", or "you") and Edgeflow, operated by Evicom Concept and Tinsites Ltd. ("Edgeflow", "we", "us", or "our"). By creating an account, subscribing to a plan, or otherwise accessing or using the Edgeflow platform (the "Service"), you confirm that you have read, understood, and agreed to be bound by these Terms in full. If you do not agree, you must not access or use the Service.
You represent that you are at least 18 years of age, that you are a qualified legal practitioner, law student, paralegal, or otherwise have a legitimate professional purpose for using a legal operating system, and that you have the legal authority to enter into this agreement either on your own behalf or on behalf of the firm or organisation you represent.
2. Description of Service
Edgeflow is an AI-powered legal operating system built for legal professionals practising in Nigeria. The Service provides an integrated workspace that includes, without limitation:
- A structured case database for managing matter files, facts, issues, and notes.
- A client CRM for tracking client information, communication logs, and intake.
- Financial tracking tools for fees owed, trust account balances, and billing records.
- AI legal tools for research, contract review, drafting, and case summarisation.
- Calendar and scheduling automation, including optional integration with Google Calendar.
- A practitioner's journal for recording reflections, lessons, and practice notes.
The Service is continuously evolving. We may add, modify, suspend, or discontinue any feature at our discretion, and we will use reasonable efforts to notify active subscribers of material changes that affect their use of the Service.
3. AI Disclaimer and Limitation of Liability
Important: Edgeflow uses Artificial Intelligence ("AI"), including large language models, to generate research summaries, contract reviews, drafting suggestions, case briefs, and other outputs. AI systems are probabilistic and are known to produce inaccurate, incomplete, fabricated, or misleading information, including invented case citations, statutes, and authorities (commonly described as "hallucinations").
AI-generated outputs produced through the Service are not legal advice, do not constitute a legal opinion, and are not a substitute for the independent professional judgement, due diligence, or supervision of a qualified legal practitioner. You acknowledge and agree that:
- You bear sole and full responsibility for verifying every AI-generated output against primary legal sources, including statutes, regulations, judgments, and authoritative commentary, before relying on it, sharing it with a client, or submitting it to any court, tribunal, or counterparty.
- You will not rely on AI outputs as a final work product without lawyer review.
- Edgeflow does not guarantee the accuracy, completeness, currency, or fitness for purpose of any AI-generated content.
To the maximum extent permitted by law, Edgeflow, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of clients, loss of data, reputational harm, professional sanctions, adverse judgments, or missed deadlines, arising out of or related to your use of, or inability to use, the Service or any AI output. Our aggregate liability for any claim arising from or related to the Service shall not exceed the total subscription fees paid by you to Edgeflow in the three (3) months immediately preceding the event giving rise to the claim.
4. User Responsibilities and Confidentiality
You are solely responsible for the accuracy, lawfulness, and completeness of all data you input into the Service, including case files, client information, financial ledgers, trust account entries, calendar events, and journal entries. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
You acknowledge that the information you handle as a legal professional is governed by duties of confidentiality, including those imposed by the Rules of Professional Conduct for Legal Practitioners. You agree to:
- Obtain any client consents required before uploading or processing client information through the Service.
- Avoid inputting unnecessarily sensitive personal data, such as full bank account numbers, BVNs, or government-issued identification numbers, into AI prompt fields.
- Use the Service only for lawful purposes and not to facilitate any unauthorised practice of law, fraud, harassment, or breach of court orders.
5. Billing and Subscription
Access to the Service is provided on a paid subscription basis at a fee of ₦8,999 per month, billed in Nigerian Naira, unless a different plan is expressly agreed in writing. Subscription fees are due in advance for each billing cycle and are non-refundable except as required by applicable law.
- You may cancel your subscription at any time from your account settings.
- Cancellation takes effect at the end of the current billing cycle; you retain access to the Service until that date.
- We may adjust pricing on prospective billing cycles by giving you reasonable prior notice through the Service or by email.
- Failure to pay due fees may result in suspension or termination of your account and loss of access to data stored in the Service.
6. Third-Party Integrations
The Service integrates with third-party platforms to deliver certain features, including Google Calendar for scheduling and deadline management, and third-party AI providers for the generation of research and drafting outputs. Your use of these integrations is also governed by the terms and privacy policies of the relevant third-party provider.
Edgeflow is not responsible for the availability, performance, downtime, security practices, data handling, or content of any third-party service. Suspension, modification, or discontinuation of a third-party service by its provider may affect related Edgeflow features, and we shall not be liable for such effects.
7. No Attorney-Client Relationship
Edgeflow is a software service provider. We are not a law firm, we do not practise law, and we do not provide legal representation or legal advice. Your use of the Service does not create an attorney-client relationship between you and Edgeflow, Evicom Concept and Tinsites Ltd., or any of their personnel. No communication with Edgeflow, including support correspondence, in-app prompts, or AI-generated outputs, should be construed as legal advice.
8. Intellectual Property
All rights, title, and interest in and to the Service, including its software, interface, branding, and documentation, remain the exclusive property of Edgeflow and its licensors. You retain ownership of the data you input into the Service. You grant Edgeflow a limited, non-exclusive, worldwide licence to host, process, and transmit your data solely to operate, maintain, secure, and improve the Service for you.
9. Termination
We may suspend or terminate your access to the Service if you breach these Terms, fail to pay subscription fees, use the Service to harm others, or expose Edgeflow to legal or regulatory risk. You may terminate your account at any time. Termination of the account does not relieve you of obligations accrued before the termination date.
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles. The parties shall first attempt to resolve any dispute amicably through good-faith negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act, with English as the language of arbitration.
11. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. We will post the updated Terms on this page and update the "Last updated" date above. Material changes will be communicated through the Service or by email. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
